REPRESENTATIVE INVESTMENT WORK

In the past few years, we have counseled clients who were investing in both private companies and public companies who were privately offering both debt and equity. We conducted extensive due diligence, reviewed and reformed the offering documents, revised the securities instruments and generally counseled our clients with respect to protecting their investments given the nature of the offering. We have also formed limited liability companies and structured those entities in cases where our clients wanted to form syndications for purposes of pooling their capital with others.
We also regularly form limited liability companies and advise on the partnership aspects of same, where our clients, either with investors/partners already known to them, or with investors we introduce, seek to invest in specific projects, including the purchase and development of real estate.
We also counsel various individual clients who have set up consulting firms in various industries with respect to their consulting contracts, confidentiality agreements and "finders agreements" as appropriate.
